Board of Governors

The Centre will be managed by a Board of Governors with the overall responsibility for the direction of the Centre and which is accountable to the Sponsors, Institutions, and Partner Organizations.

Responsibilities
The Board of Governors will:

  • appoint or replace a Chair;
  • appoint or replace Board members from nominations by Partner Organizations;
  • oversee the affairs of the Centre including but not limited to the research program, resource allocation and budgeting, conflict of interest, intellectual property management, communications, and reporting as required by the Sponsors; 
  • review, approve, or amend the research program and the annual progress report;
  • approve or amend the Centre budget and financial statements;
  • approve the appointment or replacement of the Director/Co-Directors;
  • approve the appointment or replacement of members of the Board's Executive and advisory committees;
  • determine the need for and appoint other committees as required.

Chair
The members of the Board of Governors shall appoint a Chair from amongst those voting members of the Board who represent Institutions and Partner Organizations.  The Chair shall be appointed for a term of two years, and may stand for re-appointment.  In the event of a temporary absence of the Chair, the PMC Director (Co-Director) shall act as Interim Chair.

Membership
The voting membership of the Board of Governors shall consist of the Director (Co-Director), one representative from each of the Consortium Universities selected by the President of that University, one or more representatives of the primary federal partners selected by the federal partners, the Regional Director of Citizenship and Immigration Canada, and other representatives of the Partner Organizations selected by the university-based members of the Board of Governors from a list of nominees. In addition, two representatives from the Sponsors, one from SSHRC and one from the Metropolis Project Team (CIC), selected by the respective Sponsor, shall be ex-officio, non-voting members of the Board of Governors.

Term
Members are appointed for two years, with provision for renewal for a maximum of 5 years.  In the event of a vacancy that the Board of Governors may wish to fill, the same procedures shall govern replacement appointments as appropriate. 

Quorum
A quorum shall be not less than one-half of the voting members who may not appoint substitutes, with the exception of federal partners, to attend the Board of Governors meetings in their places.

Removing a Board Member
For non-attendance or other reasons that adversely affect the work of the Centre, the Board of Governors may, by a majority of two-thirds of all voting members of the Board, require a Board member to withdraw from the Board.

Meetings
The Board of Governors must meet twice a year in person or by appropriate electronic means, as agreed to by the members.  The Chair, assisted by the Director/Co-Director, will give each member of the Board notice of a meeting not less than ten working days in advance of a meeting.

Decision-making
The decisions of the Board of Governors shall be confirmed by simple majority, with the exception of decisions to change the organizational structure of the Centre or to require a Board member to withdraw from the Board, which shall require a majority of two-thirds of all voting members of the Board.
